Legal Terms

The use of Purpulbee “www.purpulbee.com” website is subject to the following Terms and Conditions. We request you to please go through them carefully as it is applying to the use of the site, applications, services and solutions provided by Purpulbee to the Client. Purpulbee Solutions LLP holds the right to update terms and conditions without any prior notice.

1) General Terms

The following terms and conditions apply to all website design, website development, mobile app development, digital marketing services and solutions provided by Purpul Bee to the Client. Please read the terms carefully. Any use of Purpul Bee solutions or services states that you have read and accepted our terms and conditions. If a Client accepts a quote that means they have accepted all legal terms and conditions as well.

• All quotations will be as per our understanding of your requirements. Please clarify our understanding in a meeting, so that both can agree on or with a Scope Document.
• Client has to ensure that their all requirements have been included in the quotes/scope document and purpulbee understand all requirements clearly. Clients can also provide clear guidelines, flow diagrams or specific details if they require that should be followed. If such details will be not provided then we may start or complete with our understanding of project scope document. At a later stage, if a difference comes then additional cost will be charged for the major changes. So, Clients have to clarify all points before signing off project with PurpulBee.
• We work with transparency and request our clients to share full requirement at the time of quotation or enquiry raised. Any discrepancy arising because of unclear needs won't be borne by Purpul Bee.
• Purpul Bee works beyond limits to complete all projects and to update the changes as per given project duration in scope document or later updated due to minor feedback updates. Client will have to accept reasonable delays if functionalities are redefined or modified.
• Client will pay additional charges if any changes in the website design or app design occur after design approval.
• Any modifications asked during development phase or after development approval to go live will be charged additional. Any other additional work over project scope document will be charged separately. Purpul Bee would not be liable for any delays caused by change in the project brief.
• Purpulbee can make revisions to the design, layout, colors etc, until client get satisfied; but not more than 2 revisions. Additional revisions or work outside the scope of the project will be charged separately.
• All input materials related to website or application like content, images, brand specific guidelines, competitor List etc, should be provided to us within 10days of starting the project. Any delays , can also delay the project delivery.
• Our websites/applications are generally tested on latest devices and browsers. If require testing on specific devices or browsers, client should tell us in advance.
• If your website/application is not hosted on Purpul Bee server, then any server or network related issues are not covered in our quotes and may be charged separately.
• At any stage during the project, Hold of the project for over 45days will incur 4K INR every week. If you require the project to be put on hold, please reply us in writing in advance.
• Purpul Bee software codes (not including open source software/libraries/plugins) are copyrights of PurpulBee. The Code can be handed over at an additional cost for use, once all previous invoices are settled, on the condition that the codes will be used only for use or modification for re-use for further development for the specified client or subsequent owners of that legal entity. The Codes can’t be allowed to be used for, re-selling or duplication purposes.
• Any third-party component purchase costs (such as SSL, Payment gateway, Google Adwords, Plug-in licenses etc) are not included in our quotes.
• Purpulbee do not take responsibility of any open source products such as WordPress, Open Source carts, Joomla etc. It is client responsibility either to update all components, third party softwares or hire professionals to make changes. We suggest you to take regular back-ups to avoid any disruptions.
• Domain registration/renewal/hosting etc charges are not included as a part of any project unless mentioned otherwise. If required, a revised quote might be submitted separately and approved by the client.
• Clients have to organize their own hosting if not included in our quote; we should be consulted before finalizing the type of hosting and database, as it should meet the requirements of the technology used for the development.
• We @Purpulbee generally builds and tests the websites/applications on our own servers or hosted domains. We cannot give access to our test servers and test websites to the clients or any third party. The website/application can/will be transferred to client server upon full payment of all invoices and dues.
• All communications/correspondences are generally done via emails. It is client’s responsibility to share updated or relevant email addresses with us.

2) Payment Terms

Quotes which are provided to the clients are valid for 30 days from the date of issue or days might be increased after a written request from clients. The payment pattern for our clients are mentioned below-

In case of Designing and Development of Web or Mobile Apps *

• 35% - at the time of project signed off. We would start working, once the payment is received.
• 35% - after the design is approved from client.
• 30% - final would be invoiced when project is on our Live Testing Server and client should ensure that it is paid before the site/app go live into the public.

OR

• 50% at the time of signing off the project.
• Final payment of 50% would be invoiced when project is on our Live Testing Server and should be paid before the site/app is live.
• In case of project exceeds the stipulated time frame from 14 days, company would reserve the rights to forward the invoice which would be minus of 5% from the total project cost.

In case of Digital Branding/Marketing Solutions

• All payment will be in advance, after project signed off. Based on quotation we may send invoice for monthly, quarterly, half yearly or annually payment. Work will be started after payment is received.

3) Deliverable Acceptance

Client shall execute a written approval by email, upon completion of each of the deliverables identified in the Scope Document or SRS Documents shared and finalized at time of Signing off the Project.

Purpulbee rely on written approval for deliverable, including, but not limiting to, acceptance of its design, content, layout, color, format, navigation, and functionality.

Any modifications or additions to the deliverables after the written approval by Client will be charged additionally.

4) Content & Copyrights

• Client will provide all content or other input materials by himself or any third party whenever required or requested by Purpul bee, if that is not in our project quotation.
• Purpulbee may use License Free / Royalty free/stock free images for website/app UI or placeholders. We may also use free fonts, Music or Video files to fill or just representation. It is client responsibility to provide or buy all such materials from their respective owners.
• All Clients must ensure that they have all copyright for content, images, fonts or other input material provided to us or before their website or app go live.
• Website content should be provided in asked format only & we don’t take responsibility of spelling or grammar mistakes in content. All Content should be as per website or sitemap structure. We will upload or update content when all content is available to us.
• E-commerce Website; Purpulbee will upload upto 30 products data or content in a single time, So client has to provide product images, content or etc data all at once.
• SEO Meta; Depending on project/website type client has to provide meta content all at once or depending on website feature they may upload from CMS Panel as well.
• Multiple Administrator types; we recommend Clients not to share Authentication details or URL to any person except authorized user. Client or their team is responsible for any content update. Client should take regular backups or ask hosting provider for backup feature.
• We generally use “Copyright and/or the name of your business or company” in bottom or any position in your website. But we do reserve the right as the Purpulbee responsible for the design and/or development, to place a small text/ logo image/ brand identity or unobtrusive link at the bottom of your website, thereby not hindering or distracting from your own website design.
• We also reserve the right to display and link to your completed project as a part of our portfolio and to write about it on other or own websites, articles or any digital promotion materials. Please inform us in advance if you DO NOT want us to add your project or site in our work portfolio.
• Purpulbee will have the copyright of any material designed, artwork and the source code, created for the client by purpulbee. We reserves the right to retain the copyright on all material created by us unless otherwise agreed in writing.
• Client will have all rights for Website Interface/Creative/Designs/ Programming Files/Source Code etc. only if client signed off the project with Exclusive Rights. Purpulbee will charge additional cost if client want to go with exclusive rights during project sign or at any later stage.
• Purpulbee is the owner of the intellectual property rights and the source code and reserves the right to reuse the code for other projects.
• Purpul Bee, purpulbee employees, agencies or any associates involved in a Client’s products and/or services, will not be liable or held responsible for any Copyright disputes.
• If Purpulbee get any information/notice about copyright or illegal content, then it will be removed immediately and the Client will be asked to buy copyright and provide legal content.
• Purpulbee does not take any responsibility, for any and all content provided from the Client without proper Copyright.

5) Refunds or Cancellation of Project

• All payment shared and deposited for the project are non-refundable or if 14 days have been elapsed from the date of payment made.
• If order made and design work has been started then all fees or fees agreed during quotation must be paid in due course, and order cancellation would not be accepted due to which all payments need to be made.
• Project Fees/Price, which will be charged on the prepay basis wouldn’t be refundable.
• Purpulbee reserve the right of terminating services immediately without any refunds, if there is any client who violates the legal terms or conditions of Purpulbee Solutions.
• All cancellation requests would be accepted in writing.
• Client couldn’t cancel project if more than 50% of work had been done. In case, if still want to cancel then client is liable to make full payment as we are working hard and beyond the limits to fulfill our commitments related to projects.
• Client, if proves that delay is from Purpulbee end, even after providing inputs or regular updates on time; or if Purpulbee fails to deliver on time then Purpul Bee may refund 1% daily and max 10% of project cost.

6) 3rd Party

Purpulbee doesn’t provide warranty of any kind for any third party products, software, API’s, hosting server, third party content, equipment, or hardware obtained.

7) Issues or Bugs

Purpulbee would be addressing any issues or bugs reported by the client end during 1st 30 days, without any charges, if client had paid the full payment of project and project had been uploaded to Client’s server. After 30 days, any required maintenance or update will be charged additionally.

8) Training

Purpulbee team provides training to the client's team via online, if requested by the client.

9) Mode of Payments

• For Indian Clients living in India, payment modes are NEFT/RTGS or by providing Physical Cheques in Company Current Account/Accounts.
• Client Outside India may use PayPal or other payment gateway shared with client.

10) Issue Resolutions

In case any of our clients are facing any issues with respect to their sites or apps, can contact us at contact@purpulbee.com. We request clients to share the brief description or URL of issue, so that our team could figure it out and finally provide solution o suggestion about the issue.

11) Terms Updation

Purpul Bee reserves the right to add, delete, or modify any provision of these Legal Terms and Conditions at any time without notice. These terms are also valid if in case not mentioned in quotation. Purpulbee and Client can mutually set their terms or modify accordingly while signing off the project. If anyone didn’t get notification of a change that does not make such changes invalid.
